TERMS AND CONDITIONS FOR ORDER MANAGEMENT SYSTEM (OMS)
These Terms and Conditions (“Terms”) govern the access and use of the Order Management System (“OMS” or “System”) provided by Official Pty Ltd (“Company”, “we”, “us”, “our”). By accessing, registering, or using the OMS, the user (“User”, “you”, “your”) agrees to be bound by these Terms.
1. Definitions
- OMS / System: The software platform used to manage orders, inventory, customers, and related operations.
- User: Any individual or entity authorized to access or use the System.
- Data: Any information uploaded, processed, or generated within the System.
2. Acceptance of Terms
By using the OMS, you confirm that:
- You have read, understood, and agree to be bound by these Terms;
- You are authorized to enter into this agreement on behalf of your organization.
3. User Accounts
- Users must provide accurate and complete account information.
- Each account is for a single user and must not be shared.
- Users are responsible for maintaining the confidentiality of login credentials.
4. System Access and Use
Users agree to:
- Use the System only for lawful business purposes.
- Not engage in unauthorized access, reverse engineering, or interference with the System.
- Not upload harmful or malicious code.
We reserve the right to suspend or terminate accounts for violation of these Terms.
5. Orders and Transactions
- Users are solely responsible for the accuracy of all orders entered into the OMS.
- The Company is not responsible for errors caused by user input.
- The OMS facilitates order management but does not guarantee fulfillment, delivery, or transaction outcomes.
6. Data Ownership and Privacy
- Users retain ownership of all data input into the System.
- The Company may process data as necessary to operate and improve the OMS.
- Personal data will be handled according to our Privacy Policy.
- Users must comply with applicable data protection laws (e.g., GDPR, POPIA, etc.).
7. Intellectual Property
- All OMS components, including software, design, and documentation, are the exclusive property of the Company.
- Users receive a limited, non-exclusive, non-transferable license to use the System.
8. Service Availability
- The Company aims to ensure high availability but does not guarantee uninterrupted service.
- Scheduled maintenance or unexpected outages may occur.
9. Fees and Payments (If Applicable)
- Subscription fees, usage fees, or licensing fees will be set forth in the commercial agreement.
- Failure to pay may result in suspension of access.
10. Confidentiality
Users must keep all non-public information related to the OMS confidential, including system architecture, pricing, and internal business processes.
11. Limitation of Liability
To the fullest extent permitted by law:
- The Company is not liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the amount paid by the User in the preceding 12 months.
- The OMS is provided “as is” and “as available”, without warranties of any kind.
12. Termination
The Company may terminate user access:
- For breach of these Terms;
- For non-payment;
- If required by law.
Upon termination, access to data may be restricted; users may request data export within 30 days.
13. Updates and Changes
The Company may update these Terms from time to time. Continued use of the OMS after changes constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of Queensland without regard to conflict-of-law principles.
